Shopify Package Terms & Conditions
By signing up for a Shopify Package or by using any Eden Services (as defined below), you are agreeing to be bound by the following terms and conditions (the “Terms of Service”).
Payment Terms
This Shopify website project scope will be billed in 2 instalments based on the Shopify package selected. 50% retainer is required to retain Eden for the commencement of the project. 50% of the balance will be required after 30 days from commencement or prior to the launch of the website and transfer of ownership. Both payment instalments will be taken from the credit card provided. Any promotional discounts will be deducted evenly from both instalments.
Additional Information & Related Expenses
In addition to fees, the Client shall be responsible for all expenses incurred by Eden on behalf of the Client in order to complete the project. Expenses include but are not limited to, domain name purchase, Shopify theme purchase, apps, plugins, original photography, digital photography, stock photography, video production, video editing or direction, and other miscellaneous out-of-pocket expenses. Any additional expenses will be quoted and must be approved by client prior to incurring those expenses. Once approved, all expenses will be charged to the credit card provided.
Timeliness
Eden will work with the Client to complete this project within 60 day or less period. To meet this timeline, the Client must provide all necessary assets and information outlined in Eden’s “Next Steps” document within a week of commencement. The Client’s availability to clarify information, supply content, answer questions and make necessary approvals related to this project impacts the timeliness of completion. Both parties agree to work together diligently to complete this project as effectively as possible.
If the Client wishes to complete this project in a shorter time frame, retainer fee schedule will be revised to reflect the shorter timeline. Once the Shopify theme is published any additional services required by Eden, will be quoted separately, and billed thereafter.
Intellectual Property
All intellectual property, designs, concepts, artwork, advertising, copy, content and /or product information created or produced by Eden in connection with this project will remain the exclusive property of Eden until all fees and expenses required under this Agreement have been paid in full. If the Client fails to pay fees or expenses and they remain unpaid for more than 60 days, the Client will no longer have the right to use Eden property and agrees to stop using it immediately and to return to Eden immediately all originals, copies and reproductions of the Eden property.
Once all fees and expenses have been paid in full, all intellectual property, designs, concepts and copy created in relation to this project, will remain the Client’s property, and Eden shall have no claim to intellectual property rights or any work produced for the Client.
Best Efforts
This project will be completed on a best efforts basis. Client must approve all creative, assets, and information uploaded to the selected Shopify theme by Eden. Upon approval from the Client, Eden will publish the web site. Once published Eden will train the Client on backend management of the online store, and the Client will be deemed to have approved all designs, layouts, copy, images, and artwork as presented, and agrees to release Eden from any liability arising from any errors.
Indemnification
In completing this project, Eden will necessarily rely on certain information and materials supplied by the Client. We shall be entitled to rely upon this information and shall be under no obligation to verify its accuracy or completeness. Eden disclaims any and all liability for projections, representations, warranties, or omissions made available by the Client in any written or oral communication.
Confidentiality
All information about this project made available to Eden shall be kept in the strictest confidence and will only be supplied to those sources approved by the Client.
